Terms of Services

Effective Date: Oct 28th, 2025

These Terms of Service govern access to and use of Asaman's platform, applications, and related services by schools, staff, students, and parents. By signing a Service Agreement or using the Service, the School agrees to be bound by these Terms and Conditions.

  • Preliminary
    • Definitions
      • Asaman refers to Asaman Technologies Ltd., the operator of the Service.
      • School refers to any educational institution or organization that is subscribed to the Service.
      • Member means an individual authorized by a School to use the Service (including staff, parents, or students).
      • Platform refers to Asaman's web and mobile applications.
      • Agreement means these Terms of Service, as well as any signed Service Proposal or Data Processing Agreement (DPA).
    • Related PoliciesThese Terms should be read in conjunction with the following documents published at www.asaman.net/terms-and-policies:
      • Privacy Policy (including China Appendix)
      • Acceptable Use Policy
      • Data Processing Agreement (DPA)
      • Service Level Agreement (SLA)
      • Data Retention & Off-Boarding Policy
    • AcceptanceBy using the Service, the School and its authorized users confirm that they have read, understood, and agree to these terms. If the School does not agree, it must discontinue the use immediately.
    • JurisdictionThis Agreement shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Singapore or resolved by arbitration at the Singapore International Arbitration Centre (SIAC), if mutually agreed by the parties.
  • Description of Service
    • PurposeAsaman provides a secure, cloud-based school platform to manage extracurricular activities, registrations, payments, attendance, reporting, and communication.
    • Access & UseThe School is granted a non-exclusive, non-transferable license to use the Service during the subscription period. Access credentials are issued to designated administrators, staff, parents, and students.
    • Data HostingAsaman operates on distributed hosting platforms, including AWS and Azure. Data is hosted regionally according to the School’s location:
      • Mainland China: stored on Alibaba Cloud (Aliyun) in compliance with PIPL and ICP regulations.
      • All Other Regions: stored in AWS or Azure data centers in Asia-Pacific, Europe, or North America.
    • UpdatesAsaman may release new features, enhancements, or maintenance updates periodically. Notice will be provided where changes materially affect its use or performance.
  • Fee And Payment
    • Subscription ModelThe Service is offered on a per-student or module-based annual subscription.Fees are specified in the signed Service Proposal or Pricing Schedule.
    • Payment TermsInvoices are issued annually and are payable within 30 days of the invoice date unless otherwise agreed. All payments are non-refundable, except in the event that Asaman terminates the Service without cause.
    • RenewalUnless written notice of non-renewal is given 45 days before the subscription end date, the contract will automatically renew for a subsequent one-year term.
    • TaxesThe School is responsible for any applicable taxes, levies, or duties arising from the subscription.
  • Responsibilities of The School
    • Ensure all data uploaded is accurate and lawful.
    • Obtain necessary parental or guardian consents before allowing minors to use the Service.
    • Maintain confidentiality of login credentials.
    • Notify Asaman promptly of any unauthorized access or security incident.
    • Comply with applicable local data-protection laws, including GDPR, FERPA, and PIPL.
  • Data Protection And Privacy
    • Controller and Processor RolesThe School is the Data Controller; Asaman acts as the Data Processor. Processing is performed only as instructed by the School.
    • Compliance FrameworkAsaman complies with international standards, including:
      • GDPR (EU)
      • FERPA / COPPA (US)
      • PIPL (China)
      • Singapore PDPA
    • Security
      • All data is encrypted in transit (TLS 1.3) and at rest (AES-256).
      • Access is role-based, logged, and monitored.
      • Backups are performed daily and stored regionally.
    • SubprocessorsThe schools will be notified of any changes in the service provision of any third parties.
    • Data RetentionData is retained for up to 12 months after termination and then securely deleted, in accordance with the Data Retention Policy.
  • Service Levels And Support
    • Availability
      • Asaman guarantees 98.5% uptime, excluding scheduled maintenance.
      • Maintenance windows will be communicated in advance.

    • Incident ResponseCritical issues are prioritized and acknowledged within one business day.
  • Intellectual Property
  • All rights, title, and interest in the Service, including software, documentation, and trademarks, remain the exclusive property of Asaman Technologies Ltd. The School retains ownership of its own data.

  • Termination
    • By the SchoolThe School may terminate the Service with 45 days’ written notice before renewal.
    • By AsamanAsaman may terminate the Service for material breach or misuse. Notice will be provided to the School with a reasonable opportunity to remedy the issue.
    • Post-TerminationUpon termination, the School may export data within 90 days of the termination date. All remaining data will be deleted within 12 months per the Data Retention Policy.
  • Limitation of Liability
  • To the maximum extent permitted by law, Asaman’s total liability under this Agreement shall not exceed the value of the School’s annual subscription. Asaman shall not be liable for indirect, incidental, or consequential damages, including data loss, profits, or business interruption.

  • General Provisions
    • Assignment: The School may not assign rights without prior consent.
    • Sever-ability: The remainder shall remain enforceable if any clause is found invalid.
    • Entire Agreement: These Terms and related policies constitute the full agreement between the parties.
